The deal between your business and Upheld, written so you can read it in five minutes. The short version: you check every quote before it goes, your customers’ money goes straight to you, and you can leave whenever you like.

Who these terms are between
These terms are between GAD Innovations Ltd (“we”, “us”), which provides Upheld, and the business that opens an account (“you”). Upheld is for businesses. By opening an account you confirm you are acting for your business and not as a consumer.

What Upheld does
Upheld helps you turn a description of a job into a priced quotation, send it to your customer as a video or a written quote, let your customer respond to it, and see how they engaged with it. It is a tool for quoting. It is not job management, accounting or a payment service.

Your account
- Keep your sign in details safe. You are responsible for what happens under your account.
- Everyone you invite to your account must be part of your business and must follow these terms.
- Give us accurate details, and keep them up to date.

Plans, the founding beta and payment
Every new account starts on the founding beta: free for 8 weeks, up to 15 quotes a month, one user. Before it ends we will agree a founding price with you, or you can choose a plan.
- Starter: £79 a month + VAT, 20 quotes a month, 1 user.
- Pro: £179 a month + VAT, 40 quotes a month, up to 5 users.
Plans are billed monthly in advance by card through our payment provider. VAT is added at the current UK rate. Unused quotes do not roll over. If you reach your monthly allowance, you can upgrade or wait for it to reset; we do not charge extra without asking.
We may change prices for future months. We will give you at least 30 days’ notice by email, and you can cancel before the new price applies.

Cancelling
You can cancel at any time from your Billing page. There is no contract term and no notice period. Your plan runs to the end of the month you have paid for and is not renewed. We do not refund part months. You can export your quotes before you go.

Your quotes are yours
You check and approve every quote before it is sent. Nothing goes to a customer until you press send. Upheld drafts quotes from what you say and from your own price list, and drafts can be wrong, so you are responsible for the prices, scope and promises in every quote you send, and for the contract you make with your customer.
Deposits and payments from your customers go through your own payment link, straight to you. We are not a party to that payment and never hold your money.

Your content
You own what you put into Upheld: recordings, photos, price lists, logos and quotes. You give us permission to store and process it only to run the service for you. You confirm you have the right to use it, including any photos of your customers’ homes.

Your customers' data
For personal data about your customers, you are the controller and we are your processor. We will:
- process it only on your documented instructions, which are these terms and how you use Upheld;
- make sure our staff and subprocessors are bound by confidentiality;
- keep it secure and tell you without undue delay if there is a breach that affects it;
- use only subprocessors under written contracts, and tell you before we add a new one so you can object;
- help you answer requests from your customers about their data;
- delete or return it when your account closes, unless the law requires us to keep it;
- give you the information you reasonably need to show you are meeting your obligations.
You are responsible for having a lawful basis to send quotes to your customers and for telling them how you use their data. Our Privacy policy explains the rest.

Fair use
- Use Upheld only for genuine quotes to people who have asked you for one.
- Do not use it to send spam, to mislead anyone, or for anything unlawful.
- Do not try to break, copy or resell the service.

Keeping it running
We work hard to keep Upheld available but cannot promise it will never be down. We may improve or change features. If we remove something you rely on, we will tell you in advance where we reasonably can.

Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.
Otherwise, we are not liable for lost profits, lost jobs, lost data you could have exported, or indirect losses. Our total liability in any 12 months is limited to the fees you paid us in that period.

Suspending or closing an account
We may suspend or close an account that breaks these terms or does not pay, after telling you why and giving you a reasonable chance to put it right, unless the breach is serious or the law requires us to act straight away.

Changes and the law that applies
If we change these terms in a way that matters, we will email you at least 30 days before. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
